B2B manufacturing and customization terms for wireless calling system solutions. Please review carefully before placing orders.

1 Cooperation Scope & Eligibility

1.1 B2B Only Policy

TZGTECH exclusively serves business customers including distributors, wholesalers, system integrators, brand owners, and commercial end-users. We do not engage in retail sales to individual consumers.

1.2 Eligible Customers

  • Registered businesses with valid business licenses
  • Authorized distributors and resellers
  • System integrators and solution providers
  • Chain restaurants and hospitality groups
  • E-commerce sellers requiring private label products

1.3 Service Offerings

Our services include standard product wholesale, OEM/ODM customization, product development, technical support, and after-sales service within the scope of wireless calling systems.

2 Order Rules & Commercial Terms

2.1 Minimum Order Quantity (MOQ)

  • Standard Products: 100 sets minimum
  • Customized Products: 500 sets minimum
  • Sample Orders: 1-10 sets (sample pricing applies)
  • Repeat Orders: Negotiable based on relationship

2.2 Payment Terms

  • New Customers: 50% deposit, 50% before shipment
  • Established Customers: 30% deposit, 70% before shipment
  • Sample Orders: 100% payment in advance
  • Payment Methods: T/T, L/C, or other agreed methods

2.3 Delivery Terms

  • Standard Products: 15-25 working days
  • Customized Products: 25-45 working days
  • Sample Orders: 3-7 working days
  • Shipping: EXW Chongqing (other terms negotiable)

2.4 Price Validity

  • Quotations: Valid for 30 days
  • Price Adjustments: Material cost fluctuations may affect pricing
  • Volume Discounts: Available for large orders
  • Currency: USD (other currencies by agreement)

3 Customization & Development Terms

3.1 Sample & Prototyping Fees

Standard Samples

Sample cost will be deducted from future orders (MOQ required)

Custom Prototypes

Prototype fees: $500-2000 depending on complexity

3.2 Mold & Tooling Ownership

  • Customer-Paid Molds: Customer owns mold after full payment
  • Shared Development: Ownership terms specified in separate agreement
  • TZGTECH Investment: TZGTECH retains ownership and usage rights
  • Mold Maintenance: TZGTECH responsible for maintenance during production

3.3 Intellectual Property

  • Customer-provided designs and specifications remain customer's property
  • TZGTECH's core technology and manufacturing processes remain proprietary
  • Customized firmware and software solutions ownership as per agreement
  • Confidentiality maintained for all customer-specific developments

3.4 Development Timeline

4 Quality Assurance & After-sales Service

4.1 Quality Control

  • Inspection: 100% functional testing before shipment
  • Standards: ISO9001, CE, FCC compliance available
  • Defect Rate: <0.5% target for standard products
  • Pre-shipment: Customer inspection welcome (by appointment)

4.2 Warranty Terms

  • Standard Warranty: 12 months from shipment date
  • Coverage: Manufacturing defects and component failures
  • Exclusions: Physical damage, misuse, unauthorized modifications
  • Extended Warranty: Available upon request (additional cost)

4.3 Return & Exchange Policy

  • Defective Products: Free replacement within warranty period
  • Return Process: RMA number required before return
  • Return Shipping: TZGTECH covers shipping for warranty claims
  • Processing Time: 5-10 working days after receipt

4.4 Technical Support

  • Support Channels: Email, phone, video conference
  • Response Time: 24 hours for critical issues
  • Documentation: User manuals, installation guides provided
  • Training: Product training available for large orders

5 Liability & Dispute Resolution

5.1 Limitation of Liability

  • TZGTECH's liability is limited to product replacement or refund of purchase price
  • No liability for indirect, consequential, or special damages
  • Customer responsible for proper installation and usage
  • Force majeure events exempt from liability claims

5.2 Breach of Contract

Customer Breach

  • • Payment delays: 2% monthly penalty
  • • Order cancellation: 30% penalty fee
  • • Specification changes: additional costs apply

TZGTECH Breach

  • • Delivery delays: negotiate compensation
  • • Quality issues: free replacement/refund
  • • Specification deviations: customer approval required

5.3 Dispute Resolution Process

Parties attempt to resolve disputes through direct communication

Mediation

If negotiation fails, seek mediation through agreed third party

Arbitration

Final resolution through arbitration in Chongqing, China

5.4 Governing Law

These terms are governed by the laws of the People's Republic of China. Any disputes shall be resolved according to Chinese commercial law and international trade practices.
